Terms of Service

These Terms of Service govern your use of the Aulintri platform and all services offered by Maventi Group, LLC and its subsidiaries, including Beyond Logix freight forwarding services and Beyond Clearance LLC customs brokerage services. Read them carefully — particularly Sections 4 and 5, which contain terms specific to customs brokerage and NVOCC freight forwarding that differ from standard SaaS terms.

Section 01

Acceptance of Terms

By accessing the Aulintri platform, submitting a freight booking through Beyond Logix, or engaging Beyond Clearance LLC as your customs broker, you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

If you do not agree to these Terms in full, you may not use the Aulintri platform or any Maventi Group service. Continued use of the platform following a posted update to these Terms constitutes acceptance of the updated version.

Attention customs brokerage customers: By engaging Beyond Clearance LLC as your broker, you are also executing a Power of Attorney authorizing Beyond Clearance LLC to act as your agent before U.S. Customs and Border Protection. The scope of that authorization is described in Section 4. Review it before submitting any entry data.
Section 02

Definitions

  • "Aulintri"The cloud-based logistics intelligence SaaS platform operated by Aulintri Inc., a subsidiary of Maventi Group, LLC, accessible at aulintri.com.
  • "Maventi Group"Maventi Group, LLC, the parent holding company and data controller for all services described in these Terms.
  • "Beyond Logix"The NVOCC freight forwarding business operated by Maventi Group, licensed by the Federal Maritime Commission (FMC OTI License).
  • "Beyond Clearance"Beyond Clearance LLC, a licensed customs brokerage employing Licensed Customs Brokers (LCBs) who file entries with CBP on behalf of importers.
  • "Services"All products, platforms, and professional services offered by Maventi Group, Aulintri Inc., Beyond Logix, and Beyond Clearance LLC, individually or in combination.
  • "Customer Data"Shipment records, customs entry data, documents, financial information, and any other data you submit to the Aulintri platform or provide to Maventi Group in connection with the Services.
  • "CBP"U.S. Customs and Border Protection.
  • "Entry"A formal entry summary (CBP Form 7501) or other customs filing submitted to CBP through the Automated Commercial Environment (ACE).
Section 03

Services Described

Maventi Group provides services across three categories. Your subscription, engagement, or account type determines which apply to you.

Aulintri SaaS Platform

A cloud-based logistics intelligence platform providing freight quoting, customs clearance workflow management, AI document extraction, HTS classification tools, tariff analysis, drayage management, invoicing, and customer portal functionality. Access is provided on a subscription basis subject to the platform license terms in Section 6.

Beyond Logix — NVOCC Freight Forwarding

International ocean freight forwarding services including carrier booking, bill of lading issuance, rate quotation, shipment management, and drayage coordination. These services are subject to the additional terms in Section 5 and to Beyond Logix's FMC tariff, which is on file with the Federal Maritime Commission.

Beyond Clearance — Customs Brokerage

Licensed customs brokerage services including ISF filing, entry summary preparation and submission, cargo release, PGA filings, drawback claims, and related compliance services. These services are subject to the additional terms in Section 4 and to the Power of Attorney you execute with Beyond Clearance LLC.

Service availability: Not all services are available in all configurations. Customs brokerage services require execution of a separate Power of Attorney. Freight forwarding services require a signed engagement. Platform access is governed by your subscription tier. Contact us at info@aulintri.com to confirm service availability for your use case.
Section 04

Customs Brokerage Terms

These terms apply specifically to customers engaging Beyond Clearance LLC for customs brokerage services. They supplement — and in cases of conflict govern over — the general Terms in other sections.

Power of Attorney

By engaging Beyond Clearance LLC as your customs broker, you grant Beyond Clearance LLC a Power of Attorney authorizing it to act as your agent before CBP and all relevant Partner Government Agencies (PGAs) for purposes of filing customs entries, ISFs, PGA notifications, export declarations, and related submissions. This authorization remains in effect until formally revoked in writing and is limited to the scope of your engagement.

Customer Responsibility for Accuracy

You are responsible for the accuracy and completeness of all information you provide to Beyond Clearance LLC for customs purposes, including but not limited to: commodity descriptions, declared values, country of origin, HTS classification suggestions, manufacturer names, and supporting documentation. Beyond Clearance LLC will exercise professional judgment in reviewing and preparing entries, but it relies on the accuracy of information you provide.

CBP liability: Under 19 USC §1484, the importer of record is legally responsible for the accuracy of all information declared to CBP. Filing inaccurate entry data — regardless of which party prepared it — may result in CBP penalties, liquidated damages, or criminal liability against the importer. Beyond Clearance LLC's review reduces but does not eliminate this risk. You must provide accurate source documents and correct any errors you discover before or after entry filing.
AI-Assisted Classification

The Aulintri platform uses AI to suggest HTS classifications for imported goods. These suggestions are advisory only. Every entry submitted through Beyond Clearance LLC is reviewed by a Licensed Customs Broker before submission to CBP. AI classification output does not constitute legal advice or a binding classification ruling. For binding rulings, contact CBP directly through the CROSS database or request a ruling through Beyond Clearance LLC's professional services.

Record Keeping

Beyond Clearance LLC is required by 19 CFR Part 163 to retain all customs entry records for a minimum of five years from the date of entry. Copies of these records will be made available to you upon request. Certain records are also required to be produced to CBP upon demand — Beyond Clearance LLC will comply with lawful CBP requests for records and will notify you to the extent permitted by applicable law.

Professional Fees

Customs brokerage fees include entry preparation fees, ISF filing fees, PGA filing fees, and other disbursements. Fees are invoiced per transaction as specified in your service agreement. Duty payments collected on your behalf are held in trust and remitted to CBP on the applicable payment date. Maventi Group is not responsible for interest or penalties resulting from late duty payment caused by your failure to fund duty payment in advance.

Section 05

NVOCC & Freight Forwarding Terms

These terms apply to freight forwarding and NVOCC services provided through Beyond Logix.

FMC Tariff

Beyond Logix operates as a licensed NVOCC under FMC regulations. Our tariff, including rates, charges, rules, and regulations, is filed with the FMC and available upon request. In cases of conflict between these Terms and the FMC tariff, the tariff governs.

Bills of Lading

House Bills of Lading (HBLs) issued by Beyond Logix are subject to the terms and conditions printed on the face and reverse of the B/L, which are incorporated into these Terms by reference. The terms of the Master Bill of Lading issued by the ocean carrier also apply to your shipment. In cases of conflict, the carrier's tariff terms apply.

Liability Limitations — Freight

Beyond Logix's liability for cargo loss or damage is limited to the lesser of: (a) the actual value of the damaged or lost cargo as documented by commercial invoice, or (b) $500 per package or customary freight unit, unless a higher value is declared in writing and additional charges are paid prior to shipment. Beyond Logix strongly recommends cargo insurance for all shipments. We offer cargo insurance through licensed carriers — contact us for a quote.

Detention & Demurrage

Detention and demurrage charges assessed by ocean carriers or terminal operators are the responsibility of the customer. Beyond Logix will use commercially reasonable efforts to alert you to approaching free time expiration through the Aulintri exception alert system. However, D&D charges assessed due to customer delays in providing delivery instructions, customs holds, or documentation failures are not the liability of Beyond Logix.

Rate Validity

Quoted freight rates are valid for the period stated on the quote. Rates are subject to change due to General Rate Increases (GRI), Peak Season Surcharges (PSS), carrier space availability, and port congestion surcharges. Bookings are confirmed at the rate in effect at the time of booking confirmation, not at the time of quote.

Section 06

Platform License

Subject to your compliance with these Terms and payment of applicable subscription fees, Maventi Group grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Aulintri platform for your internal business operations during your subscription term.

Permitted Use

You may use the Aulintri platform to manage your organization's freight, customs, and logistics operations. You may grant access to your employees and authorized agents within your organization. You may not resell, sublicense, or provide platform access to third parties without a written white-label or reseller agreement with Maventi Group.

Restrictions
  • No Reverse EngineeringYou may not reverse engineer, decompile, or attempt to extract the source code of the Aulintri platform.
  • No Competitive UseYou may not use the Aulintri platform to build a competing product or service, or to benchmark our platform against competitors for commercial purposes without written consent.
  • No Unauthorized AccessYou may not attempt to access data, systems, or accounts that are not assigned to your organization.
  • No Automated ScrapingYou may not use automated scripts, bots, or scrapers to extract data from the Aulintri platform beyond what is available through our documented API.
AI Features

Aulintri's AI-powered features — including document extraction, HTS classification, and exception detection — are provided as tools to assist your operations. AI outputs are advisory and must be reviewed by qualified personnel before use in regulatory filings. Maventi Group does not warrant that AI-generated HTS classifications, duty calculations, or document extractions are error-free or constitute legal advice.

Section 07

Accounts & Access

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at info@aulintri.com if you suspect unauthorized access to your account.

Each user account must correspond to an individual human user. Shared credentials are not permitted. Organization administrators are responsible for promptly deactivating accounts for departed employees or contractors.

Maventi Group reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or fail to maintain current payment.

Section 08

Fees & Payment

Aulintri uses a three-tier pricing model: a platform access base fee, per-transaction fees, and outcome-share fees on recovered duties and refunds. Specific rates are set forth in your subscription agreement or service order.

  • Platform Base FeeBilled monthly. The platform base fee covers unlimited user access, core platform features, and standard support. Cancelable at any time with 30 days written notice.
  • Per-Transaction FeesInvoiced monthly in arrears based on actual transaction volume. Includes customs entries filed, documents extracted, and carrier bookings processed. Volume discounts apply at thresholds specified in your service agreement. Founding cohort partners receive locked-in per-transaction rates for the life of their account.
  • Outcome-Share FeesApplied to successfully recovered IEEPA tariff refunds, duty drawback claims, and D&D dispute resolutions. Invoiced upon confirmed recovery. You owe nothing if no recovery is made.
  • Duty DisbursementsDuty payments collected on your behalf and remitted to CBP are disbursements, not Aulintri fees. They are invoiced separately and must be funded in advance of the CBP payment date.

All invoices are due within 30 days of issuance. Overdue balances accrue interest at 1.5% per month. Maventi Group reserves the right to suspend platform access and freight services for accounts with overdue balances exceeding 60 days.

All fees are non-refundable except as required by law or as expressly stated in your service agreement. Disputed invoices must be raised in writing within 30 days of the invoice date.

Section 09

Data Ownership & Intellectual Property

Your Data

You retain ownership of all Customer Data you submit to the Aulintri platform. By submitting Customer Data, you grant Maventi Group a limited license to process, store, and transmit that data solely for the purpose of providing the Services. We do not claim ownership of your shipment records, entry data, or business information.

Aulintri Platform IP

The Aulintri platform — including its code, design, AI models, workflows, and documentation — is the proprietary intellectual property of Maventi Group and Aulintri Inc. These Terms grant you a license to use the platform, not to own any part of it. All rights not expressly granted are reserved.

Aggregated Analytics

Maventi Group may use aggregated, de-identified data derived from platform usage — including duty calculation trends, classification patterns, and exception rates — to improve the platform and publish industry benchmarks. This aggregated data does not identify you or your organization and is not Customer Data.

Feedback

If you provide feedback, suggestions, or ideas about the Aulintri platform, you grant Maventi Group an irrevocable, royalty-free license to use that feedback without obligation to you. We value your input and take it seriously — founding cohort partners receive a direct product feedback channel as part of their engagement.

Section 10

Prohibited Use

You may not use the Aulintri platform or any Maventi Group service for the following purposes:

  • Sanctions ViolationsImporting, exporting, or facilitating trade involving entities on the OFAC Specially Designated Nationals list, BIS Entity List, or other applicable sanctions lists.
  • False DeclarationsSubmitting false or misleading information to CBP, FDA, USDA, or any other government agency through the platform, including undervaluation, misclassification, or country of origin fraud.
  • Export Control ViolationsUsing the platform to facilitate the export of controlled goods, technology, or software without required licenses under the Export Administration Regulations (EAR) or International Traffic in Arms Regulations (ITAR).
  • Money LaunderingUsing logistics services or the platform to facilitate trade-based money laundering or other financial crimes.
  • Security InterferenceAttempting to bypass, disable, or interfere with the platform's security controls, authentication systems, or data isolation mechanisms.

Violations of this section may result in immediate account termination, reporting to relevant government agencies, and civil or criminal referral where required by law.

Section 11

Limitation of Liability

Read carefully: This section limits Maventi Group's financial liability to you. It is a material term of these Terms of Service.

Disclaimer of Warranties. The Aulintri platform and all Services are provided "as is" and "as available." Maventi Group makes no warranty, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or that AI-generated outputs will be accurate or complete.

Limitation of Damages. To the maximum extent permitted by applicable law, Maventi Group's total liability to you for any claim arising out of or related to these Terms or the Services — whether in contract, tort, or otherwise — shall not exceed the greater of: (a) the total fees paid by you to Maventi Group in the twelve (12) months immediately preceding the claim, or (b) one thousand dollars ($1,000).

Exclusion of Consequential Damages. In no event shall Maventi Group be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, loss of data, CBP penalties, carrier-assessed charges, or customs duty liabilities arising from platform errors or service failures — even if Maventi Group has been advised of the possibility of such damages.

Exceptions. The limitations in this section do not apply to: (i) death or personal injury caused by gross negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any liability that cannot be excluded under applicable Texas law.

Customs brokerage note: Errors and Omissions (E&O) coverage for Licensed Customs Broker services is maintained by Beyond Clearance LLC as required by professional standards. CBP penalty liability arising from LCB negligence in entry preparation is subject to Beyond Clearance's E&O coverage, subject to policy limits and exclusions. Contact us for current coverage details.
Section 12

Indemnification

You agree to indemnify, defend, and hold harmless Maventi Group, its subsidiaries (including Beyond Logix and Beyond Clearance LLC), and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, penalties, fines, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your DataInaccurate, incomplete, or fraudulent information you provide for customs entries, freight bookings, or platform use.
  • Your ViolationsYour violation of these Terms, applicable law, or any government agency requirement.
  • CBP ActionsCBP penalties, liquidated damages, or enforcement actions arising from information you provided that was filed with CBP on your behalf.
  • Third Party ClaimsClaims by third parties arising from your use of the Services, including claims by consignees, carriers, or government agencies related to your shipments.
Section 13

Disputes & Arbitration

Governing Law. These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions.

Mandatory Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services — including disputes about the validity, enforceability, or scope of this arbitration clause — shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Collin County, Texas. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver. You agree to bring claims against Maventi Group only in your individual capacity and not as a plaintiff or class member in any purported class action or representative proceeding.

Exceptions. Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction in Collin County or Dallas County, Texas, to prevent irreparable harm pending arbitration.

Opt-Out. If you do not wish to be bound by mandatory arbitration, you may opt out by sending written notice to info@aulintri.com within 30 days of your first acceptance of these Terms. Opting out does not affect any other provision of these Terms.

Section 14

Termination

By You. You may cancel your Aulintri platform subscription at any time by providing 30 days written notice to info@aulintri.com. Cancellation does not entitle you to a refund of prepaid fees. Ongoing customs brokerage and freight engagements must be concluded or transferred before account closure.

By Maventi Group. We may suspend or terminate your account immediately for: material breach of these Terms; fraudulent activity; violation of Section 10 (Prohibited Use); failure to pay invoices within 60 days of due date; or any action that creates legal or regulatory risk for Maventi Group.

Effect of Termination. Upon termination, your license to access the Aulintri platform ceases immediately. We will make your Customer Data available for export for 30 days following termination. After 30 days, data will be deleted or de-identified subject to applicable retention requirements. Customs entry records are retained for the mandatory five-year period regardless of account status.

Survival. Sections 8 (Fees), 9 (Data & IP), 11 (Limitation of Liability), 12 (Indemnification), 13 (Disputes), and this Section 14 survive termination of these Terms.

Section 15

General Provisions

Entire Agreement. These Terms, together with any executed service agreements, power of attorney documents, and the Privacy Policy, constitute the entire agreement between you and Maventi Group regarding the Services and supersede all prior agreements and understandings.

Amendments. Maventi Group reserves the right to modify these Terms at any time. Material changes will be communicated via email to account administrators at least 14 days before the effective date. Continued use of the Services constitutes acceptance of the updated Terms.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.

Waiver. Failure by Maventi Group to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment. You may not assign your rights or obligations under these Terms without Maventi Group's prior written consent. Maventi Group may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force Majeure. Maventi Group is not liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, government actions, CBP system outages, ocean carrier failures, or telecommunications failures — provided that we notify you promptly and use commercially reasonable efforts to resume performance.

No Agency. Nothing in these Terms creates a partnership, joint venture, or employment relationship between you and Maventi Group. Beyond Clearance LLC acts as your agent before CBP solely in connection with customs brokerage services and only to the extent of the executed Power of Attorney.
